Note: This document defines the terms governing use of MindEdge. By creating an account, subscribing, or using the platform, you agree to these terms. Please read them carefully — they include important limitations on the nature of our service and your use of it.
The single most important thing to understand: MindEdge is an educational and informational platform. It is not a registered investment adviser, broker-dealer, or financial planner, and nothing on the platform is personalized investment advice or a recommendation to buy, sell, or hold any security. All trading decisions are yours alone, and trading involves substantial risk of loss.
1. Who We Are and What MindEdge Is
MindEdge ("MindEdge," "we," "us," or "our") operates an educational platform, software tools, and a member community focused on trading psychology, market analysis methodology, and self-directed trader education, available at mindedge.app and associated channels (the "Service").
The Service is published as general, impersonal market commentary and educational material distributed on a uniform basis to subscribers. It is designed to fall within the publisher's exclusion from the definition of "investment adviser" under the Investment Advisers Act of 1940, as interpreted in Lowe v. SEC, 472 U.S. 181 (1985). We do not provide advice tailored to any individual's specific financial situation, holdings, risk tolerance, or objectives.
2. Not Investment, Legal, or Tax Advice
- MindEdge is not a registered investment adviser (RIA), broker-dealer, or registered representative, and is not registered with the U.S. Securities and Exchange Commission (SEC), the Financial Industry Regulatory Authority (FINRA), or any state securities regulator.
- No content on the Service — including screeners, flagged "plays," trade ideas, analyses, scores, hit-rate statistics, price levels, options structures, briefings, AI-generated outputs, or community discussion — constitutes personalized investment advice, a solicitation, or a recommendation to enter into any transaction.
- All content is illustrative and educational. Any specific tickers, entries, stops, targets, or strategies are examples of methodology, not directions to trade.
- We do not know your individual circumstances and are not advising you. You should consult a licensed financial adviser, broker, attorney, and/or tax professional before making any investment decision.
3. No Performance Guarantees; Risk Disclosure
- Trading and investing involve substantial risk, including the total loss of capital. Options and leveraged instruments carry heightened risk and are not suitable for all investors.
- Past performance is not indicative of future results. Any hit-rate, win/loss, backtest, or historical figure shown on the Service is a measure of how methodology-flagged criteria behaved historically, on an educational basis. It is not a track record of executed trades, does not reflect slippage, fees, fills, or real-world execution, and does not predict future outcomes.
- We make no guarantee, representation, or warranty of any profit, return, or specific result. Hypothetical or illustrative results have inherent limitations.
- You are solely responsible for your own trades, position sizing, risk management, and outcomes.
4. AI-Generated Content
Portions of the Service use artificial intelligence to generate analyses, summaries, and educational content. AI output may be incomplete, outdated, or incorrect, may misinterpret data, and must not be relied upon as fact or advice. You are responsible for independently verifying any information before acting on it.
5. Eligibility and Accounts
- You must be at least 18 years old and legally able to enter into this agreement.
- You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
- Access is licensed to you personally and is non-transferable. Sharing accounts or credentials is prohibited.
6. Subscriptions, Billing, and Cancellation
- Paid tiers are billed on a recurring basis (monthly or annual) through our payment processor, Stripe, until cancelled.
- You authorize recurring charges to your payment method until you cancel. You may cancel at any time through the billing portal; cancellation stops future renewals and takes effect at the end of the current billing period.
- Except where required by law, payments are non-refundable, including for partial periods. Specific tiers may carry their own published terms.
- We may change pricing prospectively. Existing subscribers' pricing will not change for an active subscription except as disclosed; price changes apply to new subscriptions and renewals after notice.
7. License and Acceptable Use
- We grant you a limited, revocable, non-exclusive, non-transferable license to access the Service for your personal, non-commercial use.
- You may not redistribute, resell, republish, scrape, or share Service content (including screeners, scripts, briefings, and AI outputs) outside your personal use without our written permission.
- TradingView Pine scripts are provided as invite-only and remain our intellectual property; your access is licensed, not sold.
- You may not use the Service to violate any law, infringe rights, or attempt to circumvent access controls or usage limits.
8. Third-Party Services and Communities
The Service integrates with or links to third parties (e.g., Stripe, TradingView, Discord, market-data providers). Your use of those services is governed by their own terms, and we are not responsible for them. Community channels (including Discord) are for education and discussion; statements by other members or contributors are not our advice and are not endorsed by us.
9. Disclaimers and Limitation of Liability
The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that the Service, data, or any analysis will be accurate, uninterrupted, timely, or error-free.
To the maximum extent permitted by law, MindEdge and its owners, members, employees, and contributors will not be liable for any trading or investment losses, or for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total aggregate liability for any claim will not exceed the amount you paid us in the twelve (12) months preceding the claim.
10. Indemnification
You agree to indemnify and hold harmless MindEdge and its owners, members, employees, and contributors from any claims, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Service, your trades or investment decisions, or your breach of these terms.
11. Changes to These Terms
We may update these terms from time to time. Material changes will be communicated through the Service or by email, and your continued use after the effective date constitutes acceptance. The "Last updated" date above reflects the current version.
12. Governing Law and Dispute Resolution
These terms are governed by the laws of the State of [STATE], without regard to conflict-of-laws principles. [Dispute-resolution mechanism — e.g., binding arbitration and venue — to be finalized with counsel.]
